User Responsibilities

For Candidates

As a candidate using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of job opportunities
• Notify us of any changes to your availability or preferences
• Conduct yourself professionally in all interactions
• Respect the intellectual property of our clients

For Clients

As a client using our services, you agree to:

• Provide accurate job descriptions and requirements
• Maintain confidentiality of candidate information
• Honor agreed-upon payment terms and timelines
• Provide feedback on candidates in a timely manner
• Comply with all applicable employment laws

Fees and Payment

Our fee structure varies by service type and is outlined in individual service agreements. Payment terms are typically net 30 days unless otherwise specified.

• Direct hire placements: Fee based on annual salary
• Contract placements: Percentage of hourly rate
• Retained searches: Upfront retainer plus completion fee
• No fees charged to candidates

Guarantee Policy

We offer a 90-day replacement guarantee on all direct-hire placements. If a placed candidate does not work out within 90 days, we will provide a replacement at no additional cost, subject to the following conditions:

• Written notice of termination within 90 days
• Reasonable cause for termination
• Payment of all outstanding fees
• One replacement per original placement

Confidentiality

Both parties agree to maintain strict confidentiality regarding all information shared during the recruitment process. This includes but is not limited to:

• Candidate personal and professional information
• Client business information and job requirements
• Proprietary processes and methodologies
• Salary and compensation information

Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Caraway Connected Sourcing and is protected by copyright and other intellectual property laws.

Limitation of Liability

To the maximum extent permitted by law, Caraway Connected Sourcing shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services.

Termination

Either party may terminate this agreement at any time with written notice. Upon termination, all outstanding obligations must be fulfilled, and confidential information must be returned or destroyed.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services constitutes acceptance of the modified terms.
